Notification of Proposed By Law Amendment - GOC Initiated

From the Secretary’s desk,

I'm pleased to advise that further to our invitation to vote on the Phase 3 PMI GOC initiated By Law Amendments, the Electronic Voting is now complete and amended By Laws have been passed.

The proposed Bylaws have been extensively reviewed, approved by PMI GOC and  have been drafted in compliance with the Model Rules of the NSW Department of Fair Trading to ensure compliance with the Association Incorporations Act.

Electronic Vote Stats:

We received a total of 92 votes in favour, 5 votes against.

This represents a 6.8% of Chapter participation rate.

The PMI Global Operations Centre (GOC) has an ongoing program to align the Bylaws of all the Chapters around the world. The aim being to ensure:

  • consistency of operations amongst Chapters
  • a common basis for engaging with the legal requirements of various countries
  • compliance with international law (and thus minimise/preventing litigation)
  • smooth operation of Chapters to the advantage of Members and Boards of Directors

The GOC is requiring Chapters to up grade their existing Bylaws to be in conformance with the PMI Bylaws Template 2007.

The requirement is applied:

  • whenever Chapter’s submit a request for a Bylaws amendment (as is required by the founding Charter between our Chapter and PMI)
  • as part of the re- approval of the Charter each year in Jan/Feb (all Chapter’s are now being required to upgrade once every two years)

In the case of the Sydney Chapter, we have been asked by the GOC to conduct this upgrade before the new Board takes office. The proposed changes are largely a “word replacement” exercise with minimal actual change in the “effect” of the Bylaws.

The effort consists of:

  • importing the text of the clauses from the PMI Bylaws template and removing the duplicated clauses from our current Bylaws.
  • importing the text of clauses from our current Chapter Constitution  and removing the duplicated clauses from our current Bylaws (our Constitution would continue to formally exist, primarily as a historical document)

To facilitate your understanding of the changes embeded within this message and at the end of the page you will find all information which you can also download for ease of reading.

We have used different Fonts on the October 2007 revised Bylaws as  follows

  • Black Font = no change from the current Bylaws.
  • Blue Font = the text cut and pasted from the PMI Bylaws Template 2007.
  • Green Font - the text cut and pasted from the current Sydney Chapter Constitution  (also attached) i.e. no "change", just a reshuffle
  • Red Font - new items:
  • the Version information
  • some "link" words or phrases
  • reducing the current 1 month period, from presentation of amendments at a Chapter meeting till a Vote can occur, to a more practical and timely two weeks

The proposed Bylaws have been extensively reviewed and approved by PMI GOC. They have also been drafted in compliance with the Model Rules of the NSW Department of Fair Trading to ensure compliance with the Association Incorporations Act.

PMI GOC has also recommended that we remove a number of sections from our current Bylaws and place these in the Chapter Handbook as follows:

  • the detailed Roles and Responsibilities for Directors
  • finance items
  • housekeeping material about meetings etc,

These sections have been placed verbatim into our Chapter Handbook (which the Board formally approves and then operates under i.e. no real change, just a shuffle from one document to another).

The Board has reviewed and approved these changes for presentation to the Members. A Question and Answer session will be conducted as part of the  Chapter Meeting on Wednesday 17 October 07 (concurrent with networking drinks) and also concurrent with the Breakfast session on Wednesday 31 October 07

In summary 

This is primarily a housekeeping exercise that PMI GOC requires us to conduct. The Board is combining the electronic vote with the election of Directors for the new Board, in order to minimise costs and inconvenience to Members i.e. 1 rather than 2 separate votes.
